Soil Mates Plant Care is operated by Tibbits Consulting Inc. (collectively, “Soil Mates,” “we,” “us,” or “our”). These Terms of Use (the “Terms”) govern your access to and use of the Soil Mates Plant Care website, web application, subscriptions, and related services (the “Service”). By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Eligibility and accounts
You must be at least 18 years old, or the age of majority where you live, to create an account or purchase a subscription. You agree to provide accurate information, keep your login credentials confidential, and promptly tell us about unauthorized access to your account. You are responsible for activity performed through your account unless prohibited by law.
The Service
Soil Mates helps households organize plants, photos, rooms, care notes, watering and feeding schedules, and care history. Reminders, schedules, and other content are organizational tools only. They are not professional horticultural, agricultural, safety, veterinary, or medical advice, and they do not guarantee the health or survival of a plant.
Households and shared information
A household owner may invite other people to access shared household records. Members can see and may be able to change shared plant information and care history. You are responsible for inviting only people you trust. If ownership is transferred, the successor becomes responsible for the household. When a Premium owner deletes their account, the subscription is cancelled and the household returns to the Free plan; the successor must start a new subscription to restore Premium access. If a sole household member deletes their account, the household’s application data is permanently deleted.
Plans, billing, and taxes
The Free plan permits up to five active plants per household. Premium currently costs CAD $3.99 per month or CAD $29.99 per year and permits unlimited plants, subject to these Terms. Prices are shown before applicable taxes. Stripe processes payments, calculates applicable taxes from billing information, and provides hosted checkout and billing-management pages.
A paid subscription renews automatically at the selected interval until it is cancelled. By subscribing, you authorize Stripe to charge the payment method on file for recurring fees and applicable taxes. You can manage or cancel a subscription from the billing portal. Unless the Service states otherwise, cancellation takes effect at the end of the current paid billing period and you retain Premium access until then.
Fees are non-refundable and we do not provide prorated credits for a partially used billing period, except where required by law or where we decide otherwise. A partial or goodwill refund does not cancel a subscription. If a full refund is granted on the condition that service ends, the related subscription will also be cancelled. Deleting the billing owner’s account cancels the subscription and may end Premium access immediately. We may change prices by giving reasonable advance notice; a new price will apply no earlier than your next renewal after the stated effective date.
Your content
You retain ownership of the plant photos, notes, and other content you submit. You grant us a worldwide, non-exclusive, royalty-free licence to host, copy, process, resize, transmit, and display that content only as needed to operate, secure, support, and improve the Service. You represent that you have the rights and permissions needed to upload the content and share it with your household.
Acceptable use
You must not misuse the Service. This includes attempting unauthorized access; interfering with security or operation; introducing malicious code; scraping or burdening the Service through automated requests; impersonating another person; uploading unlawful, infringing, abusive, or deceptive content; using the Service to violate another person’s privacy or rights; or using it for unlawful purposes.
Third-party services
The Service relies on third-party providers and may link to third-party sites, including Stripe. Their services are governed by their own terms and privacy policies. We are not responsible for third-party services, content, or practices, although we remain responsible for our own obligations under applicable law.
Availability, changes, and data
We may maintain, update, add, remove, or discontinue features and may temporarily suspend access for security, maintenance, legal, or operational reasons. We do not guarantee uninterrupted or error-free operation. You are responsible for keeping independent copies of plant information or images that you cannot afford to lose.
Suspension and termination
You may stop using the Service or delete your account subject to the household safeguards shown in the application. We may restrict, suspend, or terminate access if you materially breach these Terms, create security or legal risk, fail to pay amounts due, or misuse the Service. Where reasonable, we will provide notice and an opportunity to address the issue.
Disclaimers
To the fullest extent permitted by law, the Service is provided “as is” and “as available.” We disclaim warranties and conditions that are not expressly stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability. Nothing in these Terms excludes a warranty, condition, or consumer right that cannot legally be excluded.
Limitation of liability
To the fullest extent permitted by law, Soil Mates and its owners, officers, employees, and contractors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities arising from the Service. Our total liability for all claims relating to the Service will not exceed the amount you paid us for the Service during the 12 months before the event giving rise to the claim. These limitations do not apply where liability cannot be limited or excluded by law.
Governing law
These Terms are governed by the laws of Nova Scotia and the federal laws of Canada applicable there, without regard to conflict-of-law rules. Any dispute will be brought before the courts located in Nova Scotia unless applicable consumer law requires otherwise.
Changes to these Terms
We may update these Terms to reflect changes to the Service, our business, or the law. We will post the revised Terms and update the effective date. If a change is material, we will provide reasonable notice where required. Continuing to use the Service after revised Terms take effect means you accept them.
